Centurion Creator Terms of Use

Centurion Creator is provided by SoundVault Limited, trading as SyncVault (“SyncVault”, “we”, “us” or “our”), a company incorporated in England and Wales under company number 06602618, with registered office at 124 Richmond Road, Southampton, England, SO15 3FS.

These Terms govern your access to and use of Centurion Creator, including video analysis, channel intelligence, audience intelligence, Projects, conversations, Google sign-in, connected YouTube features and related services (the “Service”).

These Terms operate alongside SyncVault’s general Website Terms & Conditions. If there is a conflict concerning Centurion Creator, these Centurion Creator Terms apply to that extent.

By clicking to accept these Terms, creating an account, connecting a YouTube account, or otherwise using the Service after being presented with these Terms, you agree to be legally bound by them.

Centurion Creator uses YouTube API Services. By using Centurion Creator features that access or use YouTube API Services, you also agree to be bound by the YouTube Terms of Service at https://www.youtube.com/t/terms.

Centurion Creator is an independent SyncVault service. SyncVault and Centurion are not YouTube or Google and are not sponsored, endorsed, certified or operated by YouTube or Google unless expressly stated otherwise.

Your use of YouTube and Google remains subject to their own terms, policies and requirements. Centurion functionality may depend on third-party APIs and services which may change, restrict or discontinue features or data availability.

Centurion Creator is an AI-assisted creator intelligence service designed to help creators, artists, labels, rights holders and authorised representatives understand YouTube content, channel performance, audience response and monetisation-sensitive issues.

Depending on the features available, Centurion may provide observations, analysis and guidance relating to:

• YouTube policy and content risks;
• rights, reuse, originality and participation considerations;
• monetisation-sensitive issues and opportunities;
• video and channel performance;
• audience feedback, themes, questions and requests;
• content opportunities and optimisation;
• creator-authorised YouTube Analytics and Reporting data where available; and
• other creator, rights, audience and channel intelligence.

Centurion may combine information supplied through YouTube APIs, information supplied or authorised by you, public information relevant to a submitted video, and Centurion’s own analytical methods and AI-assisted assessments. Where reasonably practicable, the product distinguishes YouTube-supplied information from Centurion-generated analysis and guidance.

Centurion may allow you to submit an individual public YouTube video without connecting a YouTube account. Centurion may obtain relevant public video metadata and limited associated public channel context through YouTube API Services where reasonably necessary to analyse the submitted video.

Submitting a public video does not give Centurion access to the private YouTube account or private YouTube Analytics of the person who published that video.

You may use Google to sign in to Centurion and manage your Centurion account, Projects, conversations and analysis history. Google sign-in for identity does not by itself grant Centurion access to private YouTube Analytics or other private YouTube account data.

You may separately choose to connect an authorised YouTube account. The permissions requested will be shown before you authorise access. Centurion accesses only information made available under the permissions you grant. You may revoke that access later, subject to connected features no longer working.

You must be at least 18 years old to create an account or use Centurion independently. Where use by a person under 18 is permitted, that use must be authorised and supervised by a parent or legal guardian.

If you use Centurion on behalf of a company, label, artist, rights holder, manager, creator or other organisation or person, you confirm that you have authority to act for that party and to provide or authorise the relevant information.

You may provide or authorise Centurion to process video URLs, channel identifiers, prompts, questions, Project information, account details, feedback and other information. You remain responsible for the information you provide and for ensuring that you are entitled to provide or authorise its processing.

Do not knowingly submit passwords, authentication credentials, payment-card data, unlawfully obtained confidential information, or sensitive personal information about another person unless Centurion expressly requests it for a lawful feature and you have an appropriate legal basis to provide it.

Centurion is primarily designed for creators to analyse their own content and for authorised managers, labels, rights holders and representatives to analyse content they legitimately manage or represent.

Centurion may also permit occasional analysis of publicly available third-party YouTube videos. You must not use Centurion to systematically monitor, profile, rank or assess unrelated creators or identifiable individuals, or to build databases or profiles concerning them, without an appropriate lawful purpose and any necessary authority.

Centurion-generated assessments concerning identifiable individuals are Centurion-derived analysis and must not be presented as statements or determinations made by YouTube or by the individual concerned.

Centurion uses artificial intelligence, automated processing, deterministic analysis and proprietary analytical methods. AI-assisted outputs may be incomplete, inaccurate, outdated, inconsistent or inappropriate to your circumstances.

• A positive or low-risk assessment does not guarantee compliance with YouTube policies.
• A risk identified by Centurion does not mean YouTube will necessarily take action.
• Centurion cannot know or reproduce every factor used by YouTube’s internal systems or human reviewers.
• Centurion cannot predict future policy changes, enforcement decisions or platform behaviour.
• You should independently verify important information before acting on it.

Centurion may identify performance patterns, monetisation-sensitive considerations and potential opportunities. SyncVault does not guarantee YouTube Partner Programme eligibility, monetisation, advertising revenue, Content ID eligibility, channel growth, audience growth, catalogue value or any other commercial outcome.

Any Centurion score, classification, comparison, benchmark, projection or recommendation is a Centurion-generated analytical result unless expressly identified as YouTube-supplied information. YouTube and other platforms determine their own eligibility, policy, monetisation and enforcement requirements.

You remain responsible for your content, rights, permissions and licences, ownership information, copyright claims and disputes, platform compliance, and decisions about whether or how to implement Centurion guidance. Unless expressly stated, Centurion does not independently verify ownership of copyright or other rights.

Subject to these Terms, SyncVault grants you a limited, non-exclusive, non-transferable, revocable right to use Centurion for your own personal or legitimate business purposes.

You must not use Centurion to:

• break the law or facilitate unlawful, fraudulent, deceptive, defamatory or abusive conduct;
• infringe copyright, privacy, confidentiality or other rights;
• facilitate fake engagement, artificial streaming, click fraud or other platform manipulation;
• evade YouTube policies, Content ID, copyright controls, moderation, account restrictions, advertising safeguards or fraud detection;
• systematically monitor or profile unrelated creators or identifiable individuals without an appropriate lawful purpose;
• infer or target sensitive characteristics about individuals;
• gain unauthorised access to Centurion, accounts, systems or data;
• scrape or harvest Centurion data, outputs, prompts or interfaces at scale;
• bypass security, safeguards or rate limits;
• reverse engineer Centurion or attempt to discover proprietary prompts, models, weights, algorithms, methodologies or source code;
• use Centurion outputs or access to train, benchmark or develop a competing model or service without written permission; or
• misrepresent Centurion output as an official YouTube, Google or SyncVault determination.

You are responsible for keeping your account secure and for activity under your account. Promptly notify SyncVault if you suspect unauthorised access. You must not sell, transfer or share an account in a way that undermines account security or authorisation controls.

Centurion, including its software, interfaces, branding, prompts, methodologies, models, analysis systems and underlying technology, is owned by or licensed to SyncVault and protected by intellectual property law.

You retain ownership of material you provide. You grant SyncVault a limited worldwide licence to host, copy, process, transmit and analyse information and material you submit or authorise solely to provide, operate, secure, troubleshoot and improve Centurion in accordance with these Terms and the Privacy Policy. This licence ends when the material is no longer reasonably required for those purposes, subject to lawful retention, backups and de-identified information.

SyncVault may use interactions, feedback, technical data and, where permitted, de-identified or appropriately governed content to evaluate and improve Centurion.

Creators’ prompts, content, analyses or authorised YouTube data will not be permitted to be used by third-party AI providers to train their general-purpose or foundation models unless SyncVault expressly introduces such processing under an appropriate legal, contractual and privacy framework and provides any required notice or choice.

Centurion is an evolving service. SyncVault may modify, add, remove or discontinue features and may restrict access for maintenance, security, legal, technical or operational reasons. SyncVault does not guarantee uninterrupted or error-free availability.

SyncVault may suspend, restrict or terminate access if you materially breach these Terms, misuse the Service, present a legal, security, platform or reputational risk, or where suspension is required by law or by a third-party platform on which Centurion depends.

To the extent permitted by law, Centurion is provided on an “as is” and “as available” basis. SyncVault does not warrant that Centurion will be uninterrupted, error-free, complete, current or suitable for every purpose, or that any output will produce a particular platform or commercial result.

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or statutory rights that cannot lawfully be excluded.

Subject to the above, SyncVault will not be liable for decisions by YouTube, Google or another platform; suspension, demonetisation or termination of a channel or account; rejection from or removal from a monetisation programme; copyright claims, strikes or disputes; actions taken or not taken in reliance on AI-generated analysis; or indirect or consequential loss, to the extent such exclusions are permitted by law.

If you use Centurion for business purposes, SyncVault’s aggregate liability arising out of or in connection with Centurion will not exceed the greater of (a) the fees paid by you specifically for Centurion during the 12 months preceding the event giving rise to the claim and (b) GBP 100.

Centurion provides informational and analytical guidance. It does not provide legal, tax, accounting, financial, investment or other regulated professional advice.

Personal information is processed as described in the Centurion Creator Privacy Policy. Use of Google and YouTube API data is also subject to applicable Google and YouTube requirements.

SyncVault may update these Terms to reflect changes to Centurion, law, security, business practices or third-party platform requirements. The current version will be published with its effective date.

These Terms are governed by the laws of England and Wales. If you are acting in the course of business, the courts of England and Wales have exclusive jurisdiction. If you are a consumer, you retain any mandatory rights regarding the courts in which proceedings may be brought.
